Terms & Conditions

1. Definitions

  • "Service Provider" or "Intuitly" refers to Arun Mohan operating as Intuitly
  • "Client" refers to any ecommerce business subscribing to Intuitly services.
  • "Services" refers to the AI-powered digital sales assistant services provided by Intuitly.
  • "End Customer" refers to visitors and customers of the Client's ecommerce store who interact with the Intuitly assistant.
  • "Confidential Information" refers to any information designated as confidential or understood to be confidential given its nature.

2. Scope of the Service

Intuitly provides an AI-powered platform, including but not limited to an AI sales assistant specialising in ecommerce operations, product recommendations, and customer support, offering personalised and comprehensive assistance to your customers 24/7.

The Services include:

  • AI-powered product recommendations and shopping assistance
  • Integration with your product catalogue and inventory systems
  • Real-time customer support capabilities
  • Analytics and conversion optimisation tools
  • Brand voice customisation and training

3. Data Ownership

3.1 All data provided by the Client remains the property of the Client unless those data are already accessible to the public. Intuitly will process this data solely for the purpose of providing the Services. Public data provided by the Client may be used by Intuitly to improve the quality of delivery or to enhance the platform's general knowledge base.

3.2 Intuitly adheres to GDPR and other applicable data protection laws.

3.3 The Client consents to Intuitly collecting, storing, and processing data necessary for fulfilling the Services and for service improvement purposes.

3.4 Data will not be transmitted to third parties without the Client's consent, except as necessary for service provision (see our Privacy Policy for details on subprocessors).

4. Intellectual Property

4.1 All intellectual property rights in the Services and related materials remain the exclusive property of Intuitly.

4.2 The Client is granted a non-exclusive, non-transferable right to use the Services solely for its internal business purposes during the subscription period.

4.3 The Client retains all rights to their product catalogue data, brand assets, and any custom content provided to Intuitly for training purposes.

5. Pricing and Payment

5.1 Subscription Plans: Pricing varies based on the subscription level chosen by the Client, as detailed on Intuitly's website or in individual service agreements.

5.2 Payment Terms: All payments are due at the start of the subscription period and on each subsequent billing date. In case of late payments exceeding 7 days, Intuitly may pause the service until payment has been received. Intuitly has the right to charge the subscription amount to any payment method the Client has provided, including debit or credit cards.

5.3 Integration Costs: Standard integration is included in all plans. Custom integrations or enterprise-specific requirements may incur additional costs, which will be communicated to the Client in advance.

6. Limitation of Liability

6.1 Intuitly's total liability under these Terms & Conditions shall not exceed the total amount paid by the Client for the Services in the three (3) months preceding the claim.

6.2 Intuitly is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, profits, or business opportunities.

6.3 Claims for compensation must be submitted within six (6) months from the time knowledge of the damage is gained, and at the latest three (3) years after the event causing damage.

7. Confidentiality

7.1 Both parties agree to keep all Confidential Information confidential and not disclose it to any third party, except as required by law or as necessary for the performance of the Services.

7.2 This obligation survives the termination of these Terms & Conditions indefinitely.

8. Term and Termination

8.1 The Services commence on the subscription date and continue for the duration of the subscription period.

8.2 Either party may terminate the Services with thirty (30) days written notice for monthly subscriptions or sixty (60) days written notice for annual subscriptions.

8.3 Upon termination, the Client's access to the Services will be discontinued, and stored data will be handled in accordance with our Privacy Policy.

9. Service Level Agreement (SLA)

9.1 Intuitly will use reasonable efforts to maintain the availability and performance of the Services. Scheduled maintenance will be performed during low-traffic periods with prior notice where possible.

9.2 Intuitly does not guarantee uninterrupted or error-free service and shall not be liable for any downtime or service disruptions.

10. General Disclaimer

10.1 Intuitly is not liable for the accuracy of product information, pricing, or inventory data provided by the Client, nor for any information provided by the AI assistant based on such data.

10.2 Intuitly is not responsible for verifying the legality or appropriateness of the products sold by the Client or the content provided to train the AI assistant.

10.3 The AI assistant provides recommendations and information to assist customers but does not replace professional advice. Clients should ensure their customers understand the nature of AI-assisted interactions.

11. Data Protection and Privacy

11.1 Intuitly shall comply with GDPR and other applicable data protection laws.

11.2 The Client consents to Intuitly collecting, storing, and processing data necessary for fulfilling the Services.

11.3 Data will not be transmitted to third parties without the Client's consent, except as necessary for service provision.

11.4 All AI processing is conducted within Intuitly's controlled EU-based infrastructure. Client data is not used to train AI models and is processed statelessly without retention beyond the immediate processing cycle.

12. Support and Maintenance

12.1 Support: Technical support is available via email. Intuitly will use reasonable efforts to respond to support requests within 48 hours on business days.

12.2 Maintenance: Regular maintenance and updates will be performed to improve the Services. Emergency maintenance will be communicated in advance whenever possible.

13. Warranties and Representations

13.1 Intuitly warrants that the Services will be performed professionally and in accordance with industry standards for AI-powered software services.

13.2 The Client warrants that they have the right to use and provide any product data, brand assets, and content uploaded to the platform, and that such use does not infringe any third-party rights.

13.3 The Client warrants that they will use the Services in accordance with all applicable laws and will not use the Services for any unlawful purpose.

14. Indemnification

14.1 Each party agrees to defend, indemnify, and hold harmless the other party from any claims, damages, or expenses arising from breaches of these Terms & Conditions.

14.2 The Client agrees to indemnify Intuitly against any claims arising from the content provided by the Client or the products sold through the Client's ecommerce store.

15. Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, terrorism, war, labour strikes, natural disasters, pandemics, government actions, and digital force majeure events such as widespread internet outages or cyberattacks affecting critical infrastructure.

16. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Entire Agreement

These Terms & Conditions, together with the Privacy Policy and any service-specific agreements, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings.

18. Amendments

Intuitly reserves the right to amend these Terms & Conditions at any time. Material changes will be communicated to Clients via email or through the platform with at least thirty (30) days notice before taking effect. Continued use of the Services after such notice constitutes acceptance of the amended terms.

19. Subcontracting

Intuitly may subcontract any of its obligations under these Terms & Conditions to trusted third-party providers, provided that Intuitly remains responsible for the performance of such obligations and ensures that subcontractors comply with equivalent data protection and confidentiality requirements.

20. Severability

If any provision of these Terms & Conditions is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

21. Assignment

Neither party may assign its rights or obligations under these Terms & Conditions without the prior written consent of the other party, except to a successor in the event of a merger, acquisition, or sale of all or substantially all of its assets.
